1. Basis of Contract

Our catalogues are available to industrial, business and trade customers. Any order accepted by us shall be subject to theses conditions of sale and no other conditions shall apply unless previously agreed by us in writing.

2. Acceptance

Orders for goods to be supplied by us shall be deemed to be an offer by the buyer to purchase the goods upon these conditions and shall be accepted entirely at the discretion of us. Technical developments and changes in model shall be subject to alterations. Misprints are possible and shall constitute no claims. Because of typographical causes the colors showed in the catalogues can diverge from the RAL-tinges.

3. Delivery

The delivery period shall be determine according to the respective availability to the products contained in the catalogue and the mode of transport agreed in writing between the customer and us prior to delivery. Delivery days are working days. Any date or time given by us to the customer for the delivery of goods is an estimate only and shall not be considered a contractual obligation. All goods will be delivered to the goods inwards department or reception on the ground floor. Off loading facilities must be provided by the customer.

4. Prices

The basis of the pricing is the catalogue as in force and updated from time to time. All prices in the catalogue are exclusive of VAT (17%) and administration charges(in particular delivery and shipments costs, customs duties,etc.) which shall be payable in addition to the price of the goods. Unless otherwise described in the catalogue, indicated prices are for one unit in each case.lllustrated decoration articles are not included .Delivery prices will be charged for deliveries out of the Central warehouse in Shanghai.

5. Returns

Within 14 days after the delivery the customer has the right to return the product. The return must be preannounce to us. The product must be send back in the original packaging and without any signs of use, the risks and the costs of transportation shall be covered by the customer.

6. Payment

Unless otherwise agreed, the customer shall pay in advance. Only if explicitly agreed upon the terms area check) payment on delivery and c)net cash against invoice within 14days from the date of the invoice.

7. Reservation of title

If and to the extent legally permissible every delivery shall be effected subject to the following reservation of title: Title to to the supplied merchandise shall pass to the customer only with the payment in full of the supplied merchandise. The customer is entitled within the ordinary course of business to process, transform or sell the merchandise subject to this reservation. Claims arising from the resale or the transformation or processing, which the customer can collect, are hereby assigned by way of security to us. If the merchandise subject to reservation of title is processed or transformed, then this shall always be undertaken for us an manufacturer, without,however,giving rise to obligations. If the title of us is thus lost, then co-ownerships of the new article shall alternatively pass to us.

8. Acceptance of merchandise

The merchandise is to be checked upon receipt that is free from defects. Obvious defects. Obvious defects are to be notified by the recipient in writing latest within 3 days and hidden defects promptly. If transport damage occurs, we are to be informed, as otherwise a processing of the claim against the transport company is jeopardized.

9. Warranty, Liability

If and to the extent not explicitly provided otherwise in catalogue, for the products of the catalogue, we shall assume a warranty for the duration of 12 months from the time the risk to the goods has passed to the customer .This warranty,however,shall not apply to normal wear and tear. In the case of justified complaints, we shall remedy defects within the relevant warranty period free of charge at our sole discretion either by repairing the defect(“rectification”)or by supplying an article free of defect(“new delivery”).We are, hewer ,not obliged to undertake such remedial measures if the buyer has already used or interfered with the product in such a manner which makes it impossible or more difficult to repair the article. If a remedy try fails within a reasonable period, the buyer can demand a reasonable reduction of the remuneration (lowering of the purchase price) or withdraw from this particular contract of sale and claim damages, if applicable. Contractual claims for damages shall cover intent, gross negligence, the culpable violation of a fundamental contractual obligation and a –non-compliance with an expressly furnished warranty and any other case if and to the extent our liability is legally mandatory, e.g.dut to obligatory laws on product liability. With the exception of intentional breaches, our liability shall be restricted to the foreseeable loss which may typically occur. This restriction of liability does not affect any claims of a culpable loss of life, physical injury or impairment to health. This shall also apply for compulsory liability. Otherwise we shall not accept any liability.

10. Overall liability

Any further warranty and/or liability of any kind and for any reason whatever, including but not limited to compensation of damages beyond the provisions above shall be explicitly excluded.

11. Applicable law and place of jurisdiction

The contract between the customer and us shall be governed and construed by the laws of People’s Republic of China. Place of jurisdiction of the contracts is Suzhou.
